Introduction
Digileadup (“we,” “our,” or “us”) is a digital marketing studio offering Search Visibility, Paid Growth, Social Presence, Brand Identity, Content Strategy, and Web Experience services.
By signing a proposal, confirming via email, or making a payment, you confirm you have read and agreed to these Terms. If you are signing on behalf of a company, you confirm you have the authority to do so.
1 . Our Services
Everything we deliver is scoped in a Proposal or Statement of Work (SOW) before work begins, covering deliverables, timelines, platforms, and fees. Any changes to that scope are agreed in writing first.
Work begins once we have your written confirmation and any agreed upfront payment.
2. What We Commit To
As your studio partner, here is what you can count on:
- Skilled, thoughtful execution on everything we deliver
- Clear communication and responses within 2 business days
- Regular performance reporting and honest updates
- Full confidentiality around your business, strategy, and data
- Early notice if anything affects your timeline or deliverables
Timelines in proposals are our best estimates. We always aim to hit them and will flag early if anything shifts.
We may bring in specialist collaborators for certain parts of a project. Whoever is involved, we remain fully accountable to you for everything delivered.
3. What We Need From You
Great results are a two-way street. To do our best work, we need:
- Access to relevant platforms (Google Ads, Meta, Analytics, your CMS)
- Brand assets and materials required for the services
- Timely feedback on work we share, within 5 business days
- One designated decision-maker on your end
Please give us a heads-up if you are making website changes or working with another developer, as it directly affects active campaigns.
If delays on your side hold up agreed work, we will invoice for the period. We will always reach out before it gets to that point.
4. Fees and Payments
All fees are as outlined in your Proposal, exclusive of applicable taxes.
How We Invoice
- Retainers (SEO, paid ads, social media): invoiced monthly in advance
- Projects (branding, web design, content): 50% upfront, 50% on completion
- Ad spend: paid directly by you to the platforms, not included in our fees
Payment Terms
Payment is due within 14 days of the invoice date. If an invoice is 7 or more days overdue after we have followed up, we may pause active work until it is settled. Overdue amounts may accrue interest at 1.5% per month.
If you believe an invoice is incorrect, let us know in writing within 7 days of receiving it.
5. Intellectual Property
Once fully paid, ownership of all bespoke deliverables including designs, ad creatives, and written content transfers to you.
Our internal tools, frameworks, and processes remain ours. You receive a licence to use them as part of your services during the engagement.
Any assets or materials you provide remain yours. We use them solely to deliver your services.
We may reference our work together in our portfolio and case studies, without sharing confidential results or data without your approval.
6. Confidentiality
Everything shared between us stays between us for 3 years after our engagement ends. Both parties agree not to disclose the other’s confidential information, except where legally required or shared with team members who genuinely need it.
7. Data and Privacy
We comply with applicable data protection laws including GDPR, the UK Data Protection Act 2018, and India’s DPDPA 2023. Your data is handled in line with our Privacy Policy.
Where we access your customers’ data via analytics or ad platforms, we act as a data processor. You remain the data controller, responsible for having the right permissions in place.
8. Liability and Results
Our total liability is capped at fees paid in the 3 months before any claim. We are not liable for indirect losses including lost profits, lost data, or missed opportunities.
We are results-obsessed, but we cannot guarantee specific outcomes. Search algorithms change, platforms update, markets shift. What we can guarantee: honest strategy, sharp execution, and fast adaptation when something needs to change.
9. Ending the Partnership
Either party can end a retainer with 30 days written notice by email. On wrap-up, outstanding invoices become immediately due and we will hand over all assets and platform access within 14 days.
For project work, early termination does not entitle you to a deposit refund. We invoice for everything completed to that point.
10. Third-Party Platforms
Our work runs through Google, Meta, LinkedIn, and other platforms, each with their own rules. We are not responsible for platform policy changes, algorithm updates, or ad spend charged to your accounts.
Any accounts we set up on your behalf belong to you and will be transferred cleanly when needed.
11. Governing Law
If a dispute comes up, we would always rather sort it through a direct conversation. We commit to 30 days of good-faith discussion before anything formal. Specific jurisdiction, where applicable, will be noted in your Proposal.
12. Updates to These Terms
We may update these Terms from time to time. For material changes, active partners receive at least 14 days notice by email. The latest version is always available at this URL.
